This end user license agreement (the "Agreement") should be read by you (the "User" or "you") in its entirety prior to your use of the services offered by UltimateRoll (“we” or “us”). Please note that the Agreement constitutes a legally binding agreement between you and UltimateRoll.

UltimateRoll offers the standard backgammon game as well as two additional variants of the game (“Gul Bara” and “Tapa”) on the Internet site found at www.ultimateroll.com (the “Site”) on the terms and conditions set out below.

1. INTELECTUAL PROPERTY
   1. Your access to and use of UltimateRoll is subject exclusively to these Terms and Conditions. You will not use the Site for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Site you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Site.
   2. By clicking the "Register" button in the registration form, you agree to the terms and conditions set in this Agreement, the Privacy Policy, the Cookie Policy, the Backgammon Rules, the Variants Rules, the Game Rules and the FAQs as each may be updated or modified from time to time.
   3. You must be at least 13 [thirteen] years of age to use this Site. By agreeing to these terms and conditions, you warrant and represent that you are at least 13 years of age. Moreover, we keep the right at any time to request from you evidence of age in order to ensure that minors are not using the Service. We further reserve the right to suspend or terminate your account and exclude you, temporarily or permanently, from using the Service if satisfactory proof of age is not provided or if we suspect that you are underage.
   4. While using the Service, you may “win”, or “lose” virtual money for use in the Service (“Fun Money”, or “Virtual Money”). You hereby acknowledge that these “real world” terms are only used figuratively, and you agree that you have no right in the Fun Money appearing on the Site. Any “virtual currency” balance shown in your User account does not constitute a real-world balance or reflect any stored value, but instead constitutes a measurement of the extent of your license.
2. PRIVACY POLICY
   1. Every User is prompted for some essential private information when creating an account at UltimateRoll. Such information may include first name, last name, date of birth, email address, etc. UltimateRoll guarantees to keep these personal information you provide strictly confidential. User’s personal information is contained behind secured networks and is only accessible by a limited number of persons who have special authorized access rights to such systems, and are required to keep the information confidential.
   2. The User must provide full and truthful information in respect of all details and information requested by UltimateRoll at the registration process in connection with the User's use of the Service subject at all time to the terms of the Privacy Policy.
   3. We adopt appropriate data collection, storage and processing practices and security measures to protect against unauthorized access, alteration, disclosure or destruction of your personal information, and data stored on our website.
   4. We do not sell, trade, or rent Users personal identification information to outside parties unless we provide an advance notice or ask for your permission.
   5. We will never ask for your credit card details and we advise our members to not enter their credit cards details at our Site or by submitting such details in any other form.
3. COPYRIGHT
   1. The terms “UltimateRoll”, the domain name “ultimateroll.com” and any other trade marks, service marks, signs, trade names and/or domain names used by UltimateRoll on the Site are the trade marks, service marks, signs, trade names and/or domain names of UltimateRoll and/or its licensors and these entities reserve all rights to such Trade Marks.
   2. Unless otherwise stated, UltimateRoll and/or its licensors own the intellectual property rights published on this Site (or otherwise used by UltimateRoll as permitted by law ) and all content used, including without limitation, pictures, images, photographs, videos, music, audio, animations and text (the “Site Content”) is protected by copyright. You may view, download for caching purposes only, and print pages, files or other content from the Site for your own personal use, subject to the restrictions set elsewhere in these terms and conditions.
   3. By accessing the Site you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Site for personal, non-commercial home use only. Therefore, without permission from us, you must not:
      • republish material from this Site in neither print nor digital media or documents (including republication on another website);
      • sell, rent or sub-license material from the Site;
      • show any material from the Site in public;
      • reproduce, duplicate, copy or otherwise exploit material on this Site for a commercial purpose;

You must not use this Site in any way that causes, or may cause damage to the Site or impairment of the availability or accessibility of UltimateRoll or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
   5. You must not use this Site to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.
   6. You must not conduct any systematic or automated data collection activities on or in relation to this Site without UiltimateRoll’s express written consent. This includes
      • scraping;
      • data mining;
      • data extraction;
      • data harvesting;
      • 'framing' (iframes); or
      • Article 'Spinning'.
   7. You must not use this Site or any part of it to transmit or send unsolicited commercial communications.
   8. You must not use this Site for any purposes related to marketing without the express written consent of UiltimateRoll.
   9. You agree that any names used by you in connection with the Site (for example, your username) shall not infringe the intellectual property, privacy or other rights of any third party.
4. SECURITY AND YOUR ACCOUNT/RESTRECTED ACCESS
   1. Access to certain areas of this Site is restricted. UiltimateRoll reserves the right to restrict access to certain areas of this Site, or at our discretion, this entire website. UiltimateRoll may change or modify this policy without notice.
   2. Each User account will be accessible through the use of a combination of a unique username (“User ID”) and secret password (“Password”). UiltimateRoll provides you with an option to make an account for which you create your own username and password which enable you to access restricted areas of this website or other content or services.
   3. The User agrees that he/she is absolutely responsible for all use of the Service under his/her Login Credentials and that he/she will not disclose the Login Credentials to any person whatsoever nor permit another person to use the Service via his/her User account.
   4. The User is responsible to keep his/her Login Credentials secret and confidential at all times and to take all efforts to protect their secrecy and confidentiality. Any unauthorized use of the Login Credentials will be a complete responsibility of the User and be deemed as his/her use. Any obligation therefrom will be that of the User.
   5. A User is allowed to have only one User account at UltimateRoll and will only use the Service using such single account. It is prohibited for a User to open multiple accounts with UltimateRoll. In a case when UltimateRoll becomes aware of additional accounts opened by a single User, UltimateRoll may suspend or terminate such additional accounts without any prior notice.
   6. UltimateRoll reserves the right to suspend or terminate User’s account at any given time for any type of reasons (security violations, copyright issues, spam, cheating, etc) at UiltimateRoll’s sole discretion without notice or explanation.
5. NO WARRANTIES
   1. UltimateRoll makes no warranty that this Site will be constantly available, or available at all; or the information on this Site is complete, true, accurate or non-misleading.
   2. The Site is provided on an “AS IS” and “AS AVAILABLE” basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
   3. UltimateRoll makes no warranty that the functionality of the Site will be uninterrupted or error free, that defects will be corrected or that the Site or the server that makes it available are free of viruses or anything else which may be harmful or destructive.
   4. To the extent permitted by law, UltimateRoll will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits, contracts, business relationships, reputation, goodwill, or information) arising out of or in connection with the use of the Site.
   5. Regardless of our efforts to provide you with service of the highest possible quality and security, we make no warranty that the Service we offer will be uninterrupted, timely or error-free all the time, that defects will be corrected or that the Site shall be free from viruses, bugs or other contaminants.
   6. UltimateRoll reserves the right to suspend, modify, remove or add to the Service in its absolute discretion with immediate effect and without an obligation to provide you with notice where we consider it necessary to do so.
6. AUTHORITY
   1. UltimateRoll retains complete authority over the issuing, maintenance and closing of Users’ accounts on the Site. The decision of UltimateRoll's management regarding any aspect of a User's account, use of the Service, or dispute resolution, is final and will not be open for additional review or request of appeal.
7. YOUR WARRANTIES
   1. Your use of the Service is at your sole option, discretion and risk;
   2. The money in your balance (“Fun Money”, or “Virtual Money”) have no real value and are not transferable or exchangeable within a User account. Furthermore, such Fun Money have no value in themselves and are not redeemable for any ‘real’ currency or prize. Therefore you are prohibited from renting, selling, trading, gifting, bequeathing or otherwise transferring your User account or any Virtual Money associated with your User account to a third person.
8. PROHIBITED USES/CHEATING
   1. We do not allow UltimateRoll members to use any form of external software that assists or enables players to have any unfair advantage over the opponents. Furthermore, earning money (Fun Money) illegally such as creating multiple accounts for the purpose of intentionally losing from only a single player and boosting his/hers money balance is strictly prohibited.
   2. Anytime we suspect or believe you are involved in a sham or improper activity while playing the UltimateRoll backgammon, including but not limited to situations in which you are using a prohibited backgammon assistance software, UltimateRoll reserves the right to take appropriate actions including suspending or terminating your account.
9. DISCONNECTING FROM THE SITE
   1. In order to stop players from intentionally disconnecting or forfeiting during an active game when they are losing, UltimateRoll will penalize such activity in the following manner:
      • each User has 5 minutes to return to the game after a disconnection and continue the game without any consequences. It does not matter how many times a User is going to disconnect/reconnect, because the total time of being disconnected should never exceed more than 5 minutes.
      • In a case when a User does not reconnect within 5 minutes, losses the game according to the current positions of the checkers, and will pay the opponent a stake according to the doubling cube number at the time of disconnection.
   2. Please note that if a User disconnects during a system error/server crash occurrence while in a winning position, the above does not apply.  A management decision from UltimateRoll is final.
10. PLAYER BEHAVIOR/INAPPROPRIATE CONTENT
    1. Since our goal is to provide an enjoyable playing experience to all of our players on the Site, we will not tolerate any abusive or offensive language, usernames or other behavior considered inappropriate by UltimateRoll. Therefore by accepting these terms and conditions you accept that any improper and impolite behavior or language identified by UltimateRoll may result in a loss of playing privileges, a temporary suspension or even account termination. Players at any time may submit abuse or offences to support@ultimateroll.com.
    2. Using the chat inside the game for any of the following actions is strictly prohibited and might force appropriate actions from UltimateRoll:
       • offensive language;
       • advertising other backgammon websites, gaming websites or other websites;
       • solicitating players for goods or services;
       • repeatedly posting messages that are irrelevant to the discussion or purpose of the game; and
       • unsolicited emails or other personal information;
11. BREACH
    1. Without prejudice to any other rights, if a User breach in whole or in parts these terms and conditions, UltimateRoll may take appropriate actions to deal with the breach, including terminating this agreement, blocking the user from accessing the Site, blocking the User’s IP address from accessing the Site, contacting User’s internet service provider to request for blocking access to the Site and/or bringing court proceedings against such User.
12. INDEMNITY
    1. You agree to indemnify and hold UltimateRoll and its employees harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses (including without limitation legal expenses and any amounts paid by UltimateRoll to a third party in settlement of a claim or dispute on the advice of UltimateRoll's legal advisers) in relation to any claims or actions brought against UltimateRoll arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Site.
    2. Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this Site disclaimer will protect UltimateRoll's officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as UltimateRoll.
13. LIMITATION OF LIABILITY
    1. UltimateRoll under no circumstances, including negligence, will be liable for any special, incidental, direct, indirect or consequential damages whatsoever (including without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use (or misuse) of the Service even if UltimateRoll had prior knowledge of the possibility of such damages.
14. DISPUTES
    1. The User accepts that the historical data of each game played (regular table, tournament or sit & go) will be recorded (permanently or only for specific period of time) on the UltimateRoll servers.

15. LINKS TO AND FROM THIRD PARTY WEBSITES
    1. Throughout this Site you may find links to third party websites that are controlled and maintained by others. The provision of a link to such a website does not mean that we endorse that website. If you visit any website via a link on this Site you do so at your own risk and you acknowledge and agree that we are not responsible for the content or availability of any such websites.
    2. Any party wishing to link to this Site is entitled to do so provided that the conditions below are observed:
       • you do not seek to imply that we are endorsing the services or products of another party unless this has been agreed with us in writing;
       • you do not misrepresent your relationship with this Site;
       • the website from which you link to this Site does not contain offensive or otherwise controversial content or, content that infringes any intellectual property rights or other rights of a third party.
    3. By linking to this Site in breach of our terms, you shall indemnify us for any loss or damage suffered to this Site as a result of such linking.
16. RULES AND REGULATIONS OF GAMES
    1. You agree the system used for the calculations of the players rating. On our Site the rating points are decided based on the wins and the losses of a player and never by the type of a game. Any form of manipulation by a player in order to change ratings (intentional increase or decrease) will also result in the account being suspended and Fun Money being extracted from User’s balance. Therefore, intentionally losing games or any other such activities that will manipulate User’s rating or giving a competitive advantage is strictly prohibited and UltimateRoll reserves the rights to ban a user or even permanently suspend and terminate the account.
17. RANDOM NUMBER GENERATOR (RNG)
    1. You agree the legitimacy of the random number generator software (RNG) used on our Site for determining the value of the dice. Our RNG software is scanned on a regular basis by our and external IT experts for validity and additional improvements.
18. AMENDMENT/CHANGE OF USE
    UltimateRoll may revise these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of this Site from the date of the publication of the revised terms and conditions on this Site. Please check this page regularly to ensure you are familiar with the current version.
    
    Furthermore, UltimateRoll reserves the right to:
    • Change or remove (temporarily or permanently) parts of the Site or specific services without a notice and you confirm that UltimateRoll will not be liable to you for any such change or removal; and
    • Change these terms and conditions at any time, and your continued use of the Site following any changes will be deemed to be your acceptance of such change.

19. NOTICES
    1. Anytime we need to send a notice to you, it will be sent to the email address that you provided when you registered your account at UltimateRoll. Hence, it is your responsibility to keep your email address updated and active.
20. LEGAL ADVICE
    1. The contents of the Site do not constitute advice and should not be relied upon in making or refraining from making any decision. All material contained on UltimateRoll is provided without any or warranty of any kind. You use the material on UltimateRoll at your own discretion.
21. GOVERNING LAW
    1. These terms and conditions shall be governed by and construed in accordance with the law of Europe and you hereby submit to the exclusive jurisdiction of the European courts.
22. SEVERANCE
    1. If any of these terms and conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such terms or conditions shall be severed and the remaining terms and conditions shall survive and remain in full force and effect and continue to be binding and enforceable.
23. TERMINATION
    1. At any time UltimateRoll may temporary suspend or terminate a User account, with or without a notice, in its sole and complete discretion.
    2. Every User may terminate the account at any time, for any reason, by just contacting us at support@ultimateroll.com.
    3. UltimateRoll is not responsible to Users or any third party for any claims, penalties, damages or lawsuits arising out of any above-mentioned termination or suspension of the account.

    1. Anytime you have questions or queries you can send an email to support@ultimateroll.com, and you will receive a reply within three working days.
25. REASONABLENESS
    1. By using this Site, you agree that the exclusions and limitations of liability set out in this Site disclaimer are reasonable.
       
       If you do not think they are reasonable, you must not use this Site.
26. ENTIRE AGREEMENT
    1. These terms and conditions, together with UltimateRoll's Privacy Policy constitute the entire agreement between you and UltimateRoll in relation to your use of this Site, and supersede all previous agreements in respect of your use of this Site.
